6. Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the United States of America, applicable to agreements made and to be performed therein. You agree that any legal action or proceeding between UroMax and you for any purpose concerning this Agreement or the parties’ obligations shall be brought exclusively in a federal or state court of competent jurisdiction sitting in the United States.

No waiver by UroMax of any term or condition set forth in this Agreement shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of UroMax to assert a right or provision shall not constitute a waiver of such right or provision.

UroMax may assign its rights and duties under this Agreement to any party at any time without notice to you. Any rights not expressly granted herein are reserved.
